End User License Agreement

This is an agreement between the end user of this software ("You/Your") and On Top Systems, LLC ("Supplier"). By installing COMPASS Media System ("the Software") on Your computer, You acknowledge Your acceptance of the terms and conditions of this License Agreement.

The Software is copyright © 2012-2026, On Top Systems, LLC. All rights reserved. Supplier reserves the right to modify the Software. Supplier may also update this License Agreement from time to time. Material changes may be presented for acceptance in connection with a Software update or new installation.

Subject to the terms of this Agreement, Supplier grants You a limited, non-exclusive, non-transferable license to install and use the Software during the applicable trial or subscription period.

TRIAL PERIOD AND PURCHASE. The Software is initially provided as "trialware". It may be freely distributed to third parties provided all of the original components comprising the Software are included without modification and no charge or fee of any kind is made as a condition of such distribution.

The Software may be used at no charge during the 60-day trial period, subject to the terms of this Agreement. After the conclusion of the 60-day trial period, the Software must be licensed via a subscription with Supplier for a fee. The Software will cease to function if a subscription is not established following the trial period. The trial does not automatically convert to a paid subscription, and no charges will be made unless You affirmatively purchase a subscription. Upon subscription, a unique license key will be provided to You. The license key may not be shared with or transferred to any unauthorized third party. Unauthorized sharing may result in suspension or termination of the license.

You may not modify any part of the files that make up the Software. In particular, decompilation and/or reverse engineering of binary components of the Software is expressly forbidden. Any such unauthorized use shall result in immediate and automatic termination of this License Agreement and may result in criminal or civil prosecution.

DESIGN AND PURPOSE. The Software has been carefully developed and is offered for use in good faith. All use of the Software is entirely at Your risk. The Software and Documentation are provided "as is". Supplier makes no warranty, express or implied, including but not limited to any warranty of merchantability, non-infringement, or fitness for any particular purpose.

Reports of program errors ("bugs") may be submitted as described in the Software's help file. Supplier may, in its discretion, provide updates, corrections, or modifications to the Software. Supplier does not warrant that every reported error will be corrected or that corrections will be provided within any particular time.

DATA INTEGRITY. The Software includes provisions for the regular backup of program data (“the database”). You are solely responsible for performing regular backups and maintaining copies in a secure location separate from the computer on which the Software is installed. Supplier is not responsible for loss caused by hardware failure, corruption, deletion, or inadequate backup practices.

RECONCILIATION. Certain Software functions, including reconciliation and reporting, depend upon information supplied by You or third parties. Supplier does not warrant the completeness or accuracy of third-party data.

CANCELLATION OF SUBSCRIPTION. You have the option of canceling Your current subscription at any time. Upon cancellation, the Software will remain fully operational until the current subscription period's expiration date. There are no refunds of subscription fees upon subscription cancellation.

LIMITATION OF LIABILITY. To the maximum extent permitted by applicable law, in no event shall Supplier be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of profits, lost savings, loss of use, business interruption, loss of information or data, damage to equipment, or other pecuniary loss) arising out of the use or inability to use the Software, even if Supplier has been advised of the possibility of such damages. Supplier's liability for any direct damages actually proven in connection with the Software or its use, from any cause whatsoever and regardless of the form of legal action, shall not in any event exceed the subscription fees actually paid by You for the current subscription period. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation might not apply to You.

U.S. GOVERNMENT RESTRICTED RIGHTS. The Software and Documentation are provided with RESTRICTED RIGHTS. The Licensed Software is deemed to be commercial computer software as defined in FAR 12.212 and subject to restricted rights as defined in FAR Section 52.227-19 "Commercial Computer Licensed Software - Restricted Rights" and DFARS 227.7202, “Rights in Commercial Computer Licensed Software or Commercial Computer Licensed Software Documentation”, as applicable, and any successor regulations. Any use, modification, reproduction, release, performance, display or disclosure of the Licensed Software by the U.S. Government shall be solely in accordance with the terms of this License Agreement.

SEVERABILITY. If any provision or provisions of this Agreement shall be held to be invalid, illegal, unenforceable or in conflict with the law of any jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

ENTIRE AGREEMENT AND GOVERNING LAW. This License Agreement constitutes the entire understanding and agreement between You and Supplier with respect to the Software and Documentation. Any representations or promises made by third parties which differ from the terms of this Agreement do not constitute warranties of Supplier, do not bind Supplier, and should not be relied upon. This License Agreement is governed by and construed in accordance with the laws of the State of Florida, U.S.A. The federal and state courts located in Osceola County, Florida, have exclusive jurisdiction over any disputes arising from or relating to this agreement, and each party consents to such jurisdiction and venue.
